Case Study: Proving Nominal Partnership and Securing Full Ownership
The Challenge
One of the difficult cases for me was the situation with the nominative form of a partnership. My client was officially 49% shareholder of an LLC with 51% belonging to the local sponsor. However, the sponsor was not involved in the financial affairs of the business, and an additional agreement stated that my client was the full-fledged owner of the company.
After the death of the sponsor in 2022, the family of the deceased laid claim on profits of multiple years and did not show any willingness to negotiate. Moreover, the problem was complicated by the fact that there was a minor among the heirs.
Strategic Approach
A practical and strategic approach was adopted in handling the issue. This involved reaching out to the family members of the dead individual for crucial information regarding the estate file. The next step was getting the needed permissions from the Inheritance Court to access the needed documents.
The following were key elements used in making the case more convincing:
- Presenting the side agreement to prove that it was just an assumption of partnership.
- Supplying relevant financial documentation such as sponsorship fees paid.
- Showing that there was no capital contribution by the dead individual as well as no risk sharing.
The Result
However, the case was won by the court entirely on behalf of my client. The court recognized the fact that it was a merely nominal partnership and required changes to be made in the Memorandum of Association as well as the trade license. The claim raised by the heirs was rejected altogether.
